OFFICIAL SWEEPSTAKES RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE OR PAYMENT OF ANY KIND WILL NOT IMPROVE YOUR CHANCES OF WINNING.

By participating in this Sweepstakes, Entrants accept and agree to be bound by the following Official Rules:

1. Eligibility:  Except where regulated or restricted by law, the STYLISH OCCULT GIVEAWAY: SAY IT, SLAY IT, GET PAID  (“Sweepstakes”) is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of entry.  Employees, contractors, directors, and officers, and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in the same household, whether related or not) of the sponsor, Warren James, Inc. (“Sponsor”) or Spindlehorse, or their subsidiaries, affiliates, suppliers, consultants, legal counsel, public relations, sales representatives, marketing agencies, and any others engaged in the development or distribution of this Sweepstakes (Sponsor’s “Affiilates”) are not eligible to enter or win.  All federal, state, municipal, and local laws and regulations apply. Void where prohibited or restricted by law.

2. Entry Period:  The Sweepstakes begins at 10:00 AM PST on MAY 15, 2025 and ends at 10:00 PM PST on MAY 30, 2025 (“Entry Period”).  Entries must be submitted during the Entry Period in order to be eligible for the Sweepstakes.      

3. How to Enter:  To enter, eligible individuals should complete the following steps in one of the entry options below and submit a Submission (as defined below). Each eligible person completing the entry process (an “Entrant”) will be entered in the Sweepstakes. Submitting a Submission in accordance with one of the below entry methods confirms your entry into the Sweepstakes (an “Entry”), as well as your consent to and agreement with these Official Rules:

Instagram Entry

1. you must be a registered user of Instagram;

2. your Instagram profile must be viewable by the public to be eligible for participation in the Sweepstakes; 

3. you must follow @SpindlehorseToons on Instagram; 

4. create and share a post which features a video or photo of your Stylish Occult product(s), and includes in the caption a review of the Stylish Occult product, including what you love about the product and why (together the post, photo, and caption are the “Submission”); and 

5. the Submission must include the hashtag #stylishoccult and a tag of @SpindlehorseToons.

Twitter (X) Entry

6. you must be a registered user of Twitter (X);

7. your X profile must be viewable by the public to be eligible for participation in the Sweepstakes; 

8. you must follow @SpindlehorseToons on X; 

9. create and share a post which features a video or photo of your Stylish Occult product(s), and includes in the caption a review of the Stylish Occult product, including what you love about the product and why (together the post, photo, and caption are the “Submission”); and

10. the Submission must include the hashtag #stylishoccult and a tag of @SpindlehorseToons.

BlueSky Entry

11. you must be a registered user of BlueSky;

12. your BlueSky profile must be viewable by the public to be eligible for participation in the Sweepstakes; 

13. you must follow @SpindlehorseToon on BlueSky; 

14. create a post which features a video or photo of your Stylish Occult product(s), and includes in the caption a review of the Stylish Occult product, including what you love about the product and why(together the post, photo, and caption are the “Submission”); and

15. the Submission must include the hashtag #stylishoccult and a tag of @SpindlehorseToons.

4. Alternative Website Entry

1. you must be a registered user of one of the following social media platforms: Instagram, Twitter, or BlueSky;

2. your profile of the relevant social media platform must be viewable by the public to be eligible for participation in the Sweepstakes; 

3. you must follow @SpindlehorseToons on the relevant social media platform; and

4. you visit stylishoccult.com and follow the on-screen links and instructions to complete and submit a Sweepstakes entry form during the Entry Period, by providing your full name, social media handle for the relevant social media platform where you have followed @SpindlehorseToons, email address, and other required information.

5. Entry Conditions:  Limit one Entry person during the Entry Period. Entries become the property of Sponsor and will not be returned. Entries and Entrants may be subject to verification by Sponsor in its discretion. The use of a fake name or email address will disqualify an Entrant. Use of agencies or robotic, repetitive, programmed or similar entry methods is prohibited.  All Entrants agree to abide by these Official Rules and waive any right to claim ambiguity in this Sweepstakes or these Official Rules. Entries are void if they are unreadable, inaccurate, incomplete, do not meet the eligibility requirements, or are otherwise not in compliance with these Official Rules. Entrants using the Instagram, Twitter, or BlueSky entry methods must post and not take down their Submissions during the Entry Period. All Entrants must continue following @SpindlehorseToons throughout the Entry Period and the time of the selection of Winners.

6. Conditions of Submission: Any Submission that Sponsor, in its sole opinion, deems to be inappropriate for publication will not be considered, and the corresponding Entrant will be disqualified from the Sweepstakes.  By entering, each Entrant represents and warrants that: (a) the Submission is the original work of the Entrant and does not violate or infringe any copyright, trademark/tradename, or other proprietary right of any person (including but not limited to rights of privacy or publicity) or entity; (b) the Submission either is the sole and exclusive property of the Entrant or Entrant owns or otherwise controls all of the rights to the Submission; and (c) the Submission has not been entered into or won any previous sweepstakes, contests or awards and has not been published or distributed previously in any form of media. The Submissions must not feature any depictions of minors or any third parties who do not consent to being featured; additional waivers and releases may be required by Sponsor.  Submissions must not contain depictions of other third party artistic works, copyrights, trademarks, tradenames, logos, or similar brand identifying marks; all such Submissions will be disqualified.  

7. Void Submissions:  Submissions that are deemed by the Sponsor, in its sole discretion, to be offensive, immoral, obscene, profane, defamatory, not in keeping with the image of the Sponsor, or in violation of these Official Rules will be void.  Further, all Submissions that contain copyrighted or other proprietary materials for which the Entrant has not obtained appropriate assignment of rights, as well as any content which disparages or portrays the Sponsor or Spindlehorse in a negative light, or otherwise violates these Official Rules will be void.  Sponsor reserves the right, at its sole discretion, to void any entries from Entrants whom Sponsor believes have attempted to tamper or have tampered with the administration, security, or fairness of this Sweepstakes.

8. Grant of License to Submission: By entering via the Instagram, Twitter, or BlueSky entry methods, each Entrant further warrants and represents that the Submission has not been previously licensed or transferred to any third party, and Entrant unconditionally grants to Sponsor (and its licensees and assigns) a perpetual, irrevocable, royalty-free, worldwide, non-exclusive license to publish, reproduce, display, perform, distribute, adapt, edit, modify, translate, create derivative works from, and otherwise use and sublicense your Submission or any portion thereof (including without limitation any names, likenesses, or personas shown in the Submission), in connection with the Sweepstakes and for any other purpose.  In addition to the other rights, releases, and waivers herein, you hereby waive any so-called moral rights (e.g., creative and attribution rights) in your Submission. Sponsor will have no obligation to publish or use or retain any Submission. It is Entrant’s sole responsibility to obtain all permissions and releases necessary for the grant of the rights contained in this paragraph.  Entrant agrees to take, at Sponsor’s expense, any further action (including, without limitation, execution of affidavits, licenses, releases, and other documents) reasonably requested by Sponsor to effect, perfect, or confirm Sponsor’s rights set forth in this paragraph and elsewhere in these Official Rules.  Entrant will not be entitled to compensation for any use by Sponsor, or its agents, licensees or assignees, of the Submission.

9. Use of Winner’s Name, Likeness, etc.: Except where prohibited by law, entry into the Sweepstakes constitutes permission to use each Entrant’s name; Twitter, Instagram, and BlueSky usernames; hometown; likeness; and/or prize information, without limitation, for advertising, marketing, promotional and publicity purposes without further permission or compensation.  As a condition of being awarded any prize, except where prohibited by law, winner may be required to execute a consent and release, without limitation, for advertising, marketing, promotional, and publicity purposes without further permission or compensation.

10. Winner Selection:  The one (1)  winner (Each a “Winner” and collectively “Winners”) of the Sweepstakes will be randomly drawn from among all eligible Entries within thirty (30) days after the end of the Entry Period.    

11. Prizes and Approximate Retail Value (“ARV”):  Each Winner will be awarded the following prize (“Prize”): a $200 gift card which may be used to purchase Helluva Boss merch from Stylish Occult at stylishoccult.com.  Gift cards must be used by December 31, 2025. All federal, state and local taxes, and all other costs associated with acceptance or use of the Prizes, are the sole responsibility of the Winners. Total, combined ARV of all prizes: $200

12. Odds of Winning:  The odds of winning a Prize in the Sweepstakes depend upon the number of eligible Entries received during the Entry Period.  

13. Winner Notification and Verification:  Each Winner is subject to verification of identity and eligibility prior to the award of any prize. Each Winner will be notified by direct message on the social media platform where the Submission is made. Within seven (7) days of the date that notification is sent, the winning Entrant must, by return email or by other means as may be directed by the Sponsor, provide a response indicating the Entrant’s acceptance of the prize and providing the Sponsor with confirmation of the winning Entrant’s identity and eligibility and agreement with the terms and conditions contained in these Official Rules. FAILURE TO PROMPTLY CONFIRM OR TO COMPLY WITH THESE OFFICIAL RULES WILL RESULT IN ENTRANT’S DISQUALIFICATION. Entrants who do not provide a timely and complete response will be disqualified and will forfeit any prize. In addition, any prize will be forfeited if any winning Entrant is found to be ineligible, not in compliance with these Official Rules, or declines to accept the prize. All other expenses and costs related to the participation in the Sweepstakes or acceptance of a Prize are the Entrant’s sole responsibility. 

14. Prize Delivery and Conditions:  The Prizes will be delivered within fifteen (15) days after Sponsor verifies each Winner’s eligibility to enter and to win this Sweepstakes. A Prize is non-assignable and nontransferrable, and may not be given, bartered, sold, or exchanged for cash. A Prize has no cash value and must be accepted by the Winner as awarded. A Prize may not be upgraded, and no substitutions by the Winner will be allowed; except Sponsor reserves the right, in its sole discretion, to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason.  The Winner may waive his/her right to receive the Prize.  

15. No Endorsement: This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram, Twitter, or BlueSky, and by entering the Sweepstakes you agree to release them from any liability arising from or in connection to the Sweepstakes. You understand that by using and interacting with twitter.com, instagram.com, or bsky.app and their software applications, you are subject to the terms, conditions, and policies that govern the use of the Instagram, Twitter, and BlueSky websites and software applications. You should therefore review the applicable Twitter and Instagram terms and policies, including privacy and data gathering practices, before using or interacting with Instagram, Twitter, or BlueSky.

16. Disclaimer:  Sponsor, Spindlehorse, and any of their respective affiliated companies, officers, directors, employees, agents or representatives (collectively, the "Released Parties") will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged Submissions or Entries; (b) phone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; (c) any Sweepstakes disruptions, injuries, losses or damages caused by events beyond the control of the Released Parties or by non-authorized human intervention; or (d) any printing or typographical errors in any materials associated with the Sweepstakes. Sponsor reserves the right in its sole and absolute discretion to modify these Official Rules, and/or to cancel, terminate, modify or suspend all or any part of the Sweepstakes, and in the event of cancellation or termination, to select a Winner from among all eligible non-suspect Entries received up to the time of such cancellation, termination, modification, or suspension, as applicable.  

17. Release and Indemnification:  BY ENTERING THE SWEEPSTAKES, ENTRANTS RELEASE AND HOLD THE SPONSOR AND ITS AFFILIATES HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE SWEEPSTAKES OR PARTICIPATION IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE (INCLUDING ANY TRAVEL OR ACTIVITY RELATED TO ACCEPTANCE OF THE PRIZE) AWARDED IN CONNECTION WITH THE SWEEPSTAKES, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY. 

18. Privacy:  Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy (as may be amended from time to time), currently available at https://warrenjames.org/privacy-policy.html. By entering the Sweepstakes, each Entrant agrees that Sponsor may share Entrant’s personal information with its Affiliates for the purpose of Prize fulfillment in the event Entrant is chosen as a potential Winner.  Entrants whose e-mail address or social media handle is submitted as part of this Sweepstakes agree that Sponsor may contact them by e-mail or direct message on the social media platform to make Entrant aware of information pertinent to the Sweepstakes, and to distribute information regarding Sponsor’s products, special events, promotional offers, or purchase incentives.  Entrants may choose to opt-out of future notifications by clicking the link in the e-mail and following the opt-out instructions. Opting in to specific offers does not improve an Entrant’s chances of winning.

19. Applicable Law: The Sweepstakes, and any disputes that may arise hereunder, shall be governed in all respects by the laws of the state of New  York without regard to the conflicts of laws principles of any jurisdiction.  Venue with respect to any such disputes shall be had in the state and federal courts of the state of Illinois.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision so long as the general intent of these Official Rules remains in effect.  In the event that any such provision is determined to be invalid or unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained herein.

20. Official Rules:  By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes.  The Sweepstakes will be run in accordance with the Official Rules, subject to amendment by Sponsor.  Each Entrant must comply with the Official Rules and will be deemed to have received and understood the Official Rules by participating in the Sweepstakes.  The terms of the Sweepstakes, as set out in the Official Rules, are not subject to amendment or counteroffer, except as set out herein.  If any provisions of the Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.  Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.
